Legal
Terms of service
These terms set the rules for using our website. Please read them closely, including Disputes, which asks you and us to settle most disagreements through individual arbitration.
Effective
Agreement
These terms are an agreement between you and Built Studio LLC ("Built Studio", "we", "us") about your use of builtstudio.co. By using the site, you accept them.
Please note: the Disputes section asks you and Built Studio to settle most disagreements through individual arbitration, and to give up jury trials and class actions. You can opt out of arbitration within 30 days, as that section explains.
Our privacy policy explains how we handle personal information. When we work with you under a signed agreement, that agreement governs the work, and it controls where it differs from these terms.
Who may use the site
You must be at least 18 to use the site. If you use it for a company or another organization, you confirm that you may accept these terms for it.
Using the site
We give you a limited, personal, revocable, nonexclusive, and nontransferable license to view the site and use it to learn about Built Studio and contact us.
When you use the site, please do not:
- break the law or anyone's rights
- copy, change, or republish the site's design, code, or content, beyond sharing links and short quotes
- try to break into the site or our systems, get around their security, or overload them
- send spam, harmful code, or false information through the form
- pretend to be someone else
We may change any part of the site, and suspend or end anyone's access, at any time.
Our content and trademarks
Built Studio owns the site and its content, including its text, design, images, code, and the Built Studio name and wordmark, except for material that belongs to others. These terms give you no rights in them beyond the license above.
The names and logos of our clients and technology partners belong to their owners. We show them to describe our work and our partnerships, and showing them implies no endorsement beyond what the site describes.
Some screens on the site show sample products, names, and numbers to illustrate our work.
Inquiries and discovery calls
When you send us a note or join a free discovery call:
- we keep what you tell us private, share it only as our privacy policy describes, and use it to reply, to plan the call, and to decide whether we are a good fit
- the note or the call creates no client relationship and no obligation to work together, and we may decline any project
- work starts only when you and Built Studio sign an agreement, and that agreement then sets the scope, price, and terms of the work
Descriptions of our services on the site are general information, and a signed agreement sets what we deliver.
If you need formal confidentiality before we talk, ask us for a mutual nondisclosure agreement.
Links to other sites
The site links to sites that others run, such as those of our clients and partners. Their owners are responsible for them, and their own terms and policies apply.
Disclaimers
We provide the site as is and as available. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not promise that the site will always be available, secure, or free of errors.
Limits on liability
To the fullest extent the law allows:
- Built Studio is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, that arise from or relate to the site or these terms.
- Built Studio's total liability for all claims that arise from or relate to the site or these terms is at most $100.
These limits apply under every legal theory, even if we knew such damages were possible. Some places do not allow some of these limits, and there they apply only as far as the law allows.
Indemnity
If you break these terms or misuse the site and someone makes a claim against Built Studio as a result, you agree to defend Built Studio and to cover its resulting losses and costs, including reasonable legal fees.
Governing law
The laws of the State of Delaware govern these terms and any dispute about the site, without regard to conflict of law rules. The Federal Arbitration Act governs the Disputes section.
Disputes
Please read this section closely. It affects how you and Built Studio settle disagreements about the site or these terms.
Talk to us first. Before either of us files a claim, the one with the claim sends the other a written description of it and of what would resolve it. You send yours to hello@builtstudio.co, and we send ours to the email address we have for you. We both then try in good faith to resolve it within 30 days, and any deadline to bring the claim pauses during those 30 days. The exceptions below may skip this step.
Arbitration. If the dispute is still open after 30 days, either of us may start binding arbitration. The American Arbitration Association runs it under its Consumer Arbitration Rules when they apply, and under its Commercial Arbitration Rules otherwise. The rules are at adr.org. One arbitrator decides the dispute. Hearings take place by video where the rules allow, and any in person hearing takes place in New York, New York, unless the rules require another place. The rules decide who pays the filing and arbitrator fees.
Individual claims only. You and Built Studio bring claims against each other only as individuals, and each of us gives up the right to bring or join a class, collective, or representative action. The arbitrator may not combine the claims of more than one person.
Jury waiver. You and Built Studio each give up the right to a jury trial and to have a court decide a dispute, except as this section allows.
Exceptions. Either of us may bring an individual claim in small claims court if it qualifies there, and either of us may ask a court to stop the misuse of intellectual property, such as copying of the site.
Opting out. You can opt out of arbitration by emailing hello@builtstudio.co within 30 days after you first use the site under these terms. Include your name and a sentence that says you opt out of arbitration. Opting out removes arbitration, the limit to individual claims, and the jury waiver for you, and the rest of these terms stays in place.
Courts. A small claims case may go to any small claims court that can hear it. Any other dispute that goes to court belongs in the state or federal courts in New York County, New York, and you and Built Studio agree to their jurisdiction.
If part of this section fails. If a court finds that the limit to individual claims cannot be enforced for a claim, a court decides that claim, and this section still applies to every other claim.
Changes to these terms
We may update these terms. We post the new version here and update the date at the top, and the new version applies to use of the site from that date. For a significant change, we also post a notice on the site. A change to the Disputes section applies only to disputes that arise after the change takes effect.
General terms
These terms and our privacy policy are the whole agreement between you and Built Studio about the site. If a court finds part of these terms unenforceable, the rest stays in effect. If we wait to enforce a term, we keep the right to enforce it later. Built Studio may transfer these terms, for example to a company that acquires the studio, and you may transfer them only with our written consent. The sections on disputes, liability, and indemnity survive after you stop using the site.
